Governing Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of the United States and the State of New York, without regard to conflicts of law principles. Any dispute arising from or relating to these Terms will be subject to the exclusive jurisdiction and venue of the Southern District of New York.
